This joint meeting was called to order by Chair, Abinanti and Chair Stewart-Cousins. The meeting commenced at 2:15 PM.
The item for discussion was, a change in governance at the Westchester County Medical Center (item A-9 for Legislation and item 10 for Health and Medical). Legislator Oros explained that it was imperative that the Board begin proceeding in order to get this item passed in 1996.
Marilyn Slaatten and Commissioner Ed Stolzenberg discussed the background and procedure necessary to change governance. Legislator Abinanti explained that in the past

consultants had reviewed all available options and two separate reports came to the conclusion that a public benefit corporation was the best approach.
County Attorney, Marilyn Slaatten had a list of 67 differences between the State and County proposals. An important change is the procedure to appoint a Board of Directors. According to the County version, there would be 15 voting directors, 9 of which are from Westchester County and 3 members on the nominating committee. Each nominee is subject to County Executive approval. The State proposal has 15 voting directors, 8 of which would be appointed by the Governor and 7 appointed by the Board. Of these 7 members, 3 directors would be recommended by the County Executives office, 2 by the Majority leader of the Board of Legislators, 1 by the Minority leader of the Board, 1 director would be a county resident recommended by the Speaker of Assembly and the last director would by recommend by the Senate.
Another difference between the County and State plan is the removal process. In the Countys version, removal requires a 2/3 majority vote by all voting directors, and a person may be removed for malfeasance, absence from meetings, and any other cause at the Boards discretion. According to the States version there is not a 2/3rd vote, rather the entire Boards vote is required. Members may be removed for inefficiency and neglect of duty. All members would have an opportunity to be heard prior to removal.
Marilyn Slaatten only discussed 21 of the 67 items. The Committee on Legislation will reconvene next Tuesday to continue to discuss this issue. All members of the Health and Medical Committee are invited to attend.
